Legal advise about ESG in M&A
In connection with transactions, we assist our clients, on both the target, buyer and seller sides, in planning and conducting ESG due diligence processes, including scoping relevant areas and assessing risks, either to ensure regulatory compliance or compliance with a buyer's own ESG standards.
We assist in drafting purchase agreements that contain ESG warranties as well as any obligations to meet a buyer's ESG requirements either pre-closing or post-closing, where a buyer may, for example, require sustainability certifications, which we can describe or assist in obtaining.
For transactions, we also advise on the regulatory environment for sustainable financing as a fully or partially sustainable financial product for use in the acquisition financing.
Finally, we also advise on ESG in the context of business divestments, as an increased focus on ESG also in this context can minimize risks, increase the value of the target company, make it more attractive to investors, increase profits and productivity and reduce financial risks.
