In an increasingly digitalised world, the IT related legal challenges are becoming ever more complex and specialised. A solid and precise contractual basis for IT related agreements is therefore important to companies.
An IT development agreement must of course lay down the parties’ rights and obligations. This includes that the ownership and use of the software must be clarified: Can the developer use the code or design in development assignments for other customers? What applies if the software has material defects or infringe third party’s rights? And what is applicable at the termination of the agreement?
IT companies developing new software must decide on the (license) terms on which the software must be distributed. Other companies may have a need for understanding the contents and range of the license terms of the software they acquired. This is for instance relevant when dealing with a company’s internal IT compliance processes or at a license audit carried out by a software supplier.
