Legal advise about ESG in companies

ESG, with its many facets, is much more than the environment. For many companies, ESG is just as much about governance, equal treatment, diversity and inclusion, employee representation, remuneration and proposals from shareholders and investors.

At Lundgrens, we advise on the implementation of the Danish Committee on Corporate Governance's Recommendations for Corporate Governance, which have an increasing focus on ESG, as well as the importance of companies addressing the long-term value creation, extended dialog with shareholders, sustainability and the company's overall purpose and vision. Not all companies are the same or are of a size where the Recommendations on Corporate Governance make sense to fully implement. Naturally, we thus also have a focus on tailoring the solution to fit each company's size and vision.

As part of our advisory services, Lundgrens assists companies in focusing on equal treatment, diversity and inclusion, not only in the composition of the executive board and the board of directors, but in all of the companies' levels of employees.

Employee representation in the company's governing bodies, as well as the remuneration of directors and other employees, can also contribute to meeting ESG requirements. In this context, incentive schemes and employee shares can create engagement, transparency and value in many companies. We have extensive experience in advising on these matters and structuring them in a way that ensures the achievement of the desired objectives.

In addition, it can be difficult to handle proposals from shareholders and investors on ESG issues, both for the company having to implement such proposals, but also for the shareholder or investor who would like to have suggest specific and measurable requirements for ESG in a company. In this connection, Lundgrens assists both shareholders and investors as well as companies with the handling and implementation.

Finally, we also advise management on the special liability issues that apply in connection with non-compliance or inadequate compliance with reporting requirements, gender equality requirements, etc. and we assist with the preparation of necessary policies, guidelines, etc. to ensure that companies meet both internal and external objectives.
